Terms and Conditions

Commencement of Work:

Acceptance of quote/proposal from HEAD OFFICE STUDIO constitutes agreement to these terms and conditions. Fees for Service It is agreed that the fee for service shall be the cost estimates provided via email, unless work undertaken exceeds work outlined. If work undertaken exceeds the items specified in the quote, The Client agrees to pay appropriate fees for the additional work, outside the scope of the original agreement. Wherever possible the client will be notified of increases in the scope of the project.

Payment:

For works quoted above the total sum of $2500 plus GST, Head Office Studio requires a 30% deposit paid on the total fee prior to commencement, with the balance payable 30 days from delivery. A tax invoice can be raised on request.

All accounts are to be paid within 30 days of the billing date. Interest may be charged on outstanding balances at the rate of 10% p.a. if this due. If you are having difficulty paying your invoice, please get in touch as soon as you are aware of the issue, so we can discuss a solution that works for your company.

Once research, resources allocated or design work has commenced on a project, this deposit is non-refundable. In the case of a change of mind by The Client this deposit is non-refundable. HEAD OFFICE STUDIO endeavours to provide services that meet and exceed a client’s needs and expectations, but in the event of a“change of mind” (after a project has commenced) by The Client, the initial 20% deposit is forfeited, plus apro-rata payment based upon the time spent. Quotations will remain accurate for the duration specified on the quotation, provided that the information upon which the quote was based has not changed. If no duration is specified the duration is specified to be 28 days. Cost estimates are indeed estimates only and are subject to change when necessary.

HEAD OFFICE STUDIO will notify you of any changes made to cost estimates and will seek your approval to these changes before continuing work. Quotations and cost estimates are based on an estimated number of hours required to complete the initial jobs specifications.

Client’s requirements or scope of work that increase the amount of hours required to complete the work will incur an additional fee decided upon by HEAD OFFICE STUDIO and may impact the final completion date of the work. HEAD OFFICE STUDIO reserves the right to cease work or withhold any finished work until all outstanding accounts are paid in full.

Additional Work:

This is defined as any work involving additions to the list of items defined in the Project Proposal/Quotation or changes to all pieces of finished artwork after sign off by an authorised representative of The Client.

Termination Policy: From time to time circumstances beyond the control of either party may result in the need for project cancellation. In the event of the client cancelling a project after a project has commenced, the advance payment (deposit) will be forfeited in lieu of compensation to HEAD OFFICE STUDIO.

This is to cover design and administration time spent, resources purchased and allocated, research time and administration costs. If the project is more that 50% completed (this is determined by HEAD OFFICE STUDIO and the client by negotiation), a pro-rata payment is payable for time spent up until cancellation notice, at an hourly rate of $120 per hour plus GST.

If a project is cancelled by HEAD OFFICE STUDIO due to unforeseen circumstances, the deposit will be refunded in full to the client in a timely manner. In the event of cancellation of the project by the client, ownership of all copyrights and the original artwork and discs shall be returned and retained by the HEAD OFFICE STUDIO.

Liability:

The Client undertakes and agrees to indemnify HEAD OFFICE STUDIO against any and all claims from 3rd parties arising from or in any way connected or associated with the provision of services by HEAD OFFICE STUDIO.

Any preliminary visuals provided by HEAD OFFICE STUDIO are to be used only as a guide to visualize the final product.

These visuals are the property of HEAD OFFICE STUDIO and are not to be used by the client for any purpose other than those agreed to HEAD OFFICE STUDIO. Any visuals created by HEAD OFFICE STUDIO for its clients may be used by HEAD OFFICE STUDIO for purposes it sees fit. All visuals created by HEAD OFFICE STUDIO are to be used strictly for the original intended purposes and may not be reproduced, duplicated or distributed without written permission from HEAD OFFICE STUDIO.

Any designs and specifications for structural property development remain the property of the originating client. Copyright in the visuals created from these designs by HEAD OFFICE STUDIO remains the property of HEAD OFFICE STUDIO, unless assigned in writing to the client. Confidentiality It is agreed that employees of HEAD OFFICE STUDIO shall not at any time either during the continuance of the work outlined or thereafter, except in the course of their duties, divulge any of the confidential affairs of The Client or any of its clients or associated companies to anyone whatsoever without the previous consent in writing of The Client.
